The role
Assist startups and investors in Santa Monica with corporate matters from formation to exit, focusing on venture financings, M&A, and securities transactions.
Draft, review, and negotiate corporate and transactional documents, including financing and M&A agreements.
Conduct legal due diligence for M&A and venture capital transactions.
Provide guidance on corporate compliance and draft commercial contracts.
Advise on corporate structure and cross-border transactions, delivering business-focused legal solutions.
Requires at least 2 years of relevant U.S. venture capital, M&A, or corporate experience, strong drafting and negotiation skills, and U.S. licensure; bilingual English-Chinese preferred.
