The role
As North America Legal Counsel, you will advise on corporate governance, securities compliance, M&A, and commercial contracting across the region.
Support board processes and SEC filings, including 10-K, 10-Q, 8-K, and proxy statements.
Lead due diligence, structure and negotiate term sheets, purchase agreements, and shareholders' agreements for transactions.
Draft, review, and negotiate a wide range of commercial agreements and develop templates and playbooks to improve efficiency and mitigate risk.
Collaborate with cross-functional teams (EHS, finance, tax, HR, compliance) and manage deals from initiation to integration.
Provide training and guidance on legal topics and contribute to process improvements and knowledge management.
