The role
You will serve as lead capital-markets and securities counsel on high-volume, deal-driven matters. Structure and document PIPEs, private placements, and registered offerings. Draft and review S-1s, resale registrations, 10-Ks, 10-Qs, 8-Ks, and prospectuses. Manage NASDAQ, NYSE, SEC, and FINRA processes tied to uplistings and financings. Advise boards and management on governance, disclosure, fiduciary duties, and strategic capital actions, while supporting M&A and recapitalizations. Collaborate directly with CEOs, investors, placement agents, and underwriters in a front-line, deal-running role with client ownership.
