The role
Provide legal guidance on corporate, governance, and transactional matters to senior leadership and cross-functional teams.
Lead and support domestic and cross-border M&A transactions, including structuring, due diligence, negotiation, drafting, and post-closing integration.
Assist with public and private capital markets activities, including debt and equity offerings, and oversee SEC reporting and disclosure obligations.
Advise on securities compliance, disclosure controls, insider trading policies, and governance requirements.
Collaborate with finance, treasury, and corporate development on financing arrangements and strategic initiatives; manage external counsel and advisors.
Demonstrate strong drafting, negotiation, analytical, and stakeholder-management skills in a fast-paced, collaborative environment.
