Corporate Governance and Securities Attorney

Provide legal analysis and counsel on securities and corporate governance matters and market developments for the organization. Represent the organization in dealings with third parties on U.S. securities law and state corporation law matters. Draft, review, and negotiate agreements related to securities transactions and financing. Conduct and coordinate research on a range of legal issues, ensure compliance with laws, regulations and policy, and anticipate and address legal risks and exposures. Anticipate and prepare for developments in corporate governance standards and requirements across jurisdictions. Collaborate with internal teams (treasury, investor relations, controllers, human resources) and oversee outside counsel when retained.
