The role
Lead U.S. securities and corporate governance matters, including SEC reporting, NYSE listing oversight, and Section 16 filings, with autonomy and strong collaboration.
Manage the review of disclosures (website, press releases, campaigns) for legal compliance.
Monitor regulatory developments impacting filings, disclosures, and governance.
Support board and governance matters, prepare materials, and assist with KYC, due diligence, and entity management.
Collaborate with Corporate Finance on capital market activities, derivatives, mergers and acquisitions, and joint ventures.
Drive process improvements, establish templates and procedures, supervise corporate paralegal, and oversee budget and efficiency initiatives.
