The role
Provide support and strategic advice on general corporate governance and securities law matters.
Ensure compliance with public company reporting and disclosure requirements, including review of annual, quarterly, and current reports, proxy statements, and registrations.
Support the annual stockholder meeting, including preparation of proxy materials and coordination with internal stakeholders.
Administer key policies and programs, such as insider trading policies and 10b5-1 plans.
Advise the Board of Directors and executive leadership on governance- and shareholder-related matters, including preparing meeting agendas and materials.
Draft and negotiate transactional documents for M&A and financing, maintain corporate records, and collaborate with outside counsel and internal partners across functions.
