Advise clients on antitrust and competition issues in connection with mergers, acquisitions, and other strategic transactions.
Prepare and manage Hart-Scott-Rodino (HSR) filings and provide guidance on reportability requirements.
Coordinate foreign antitrust filings and multi-jurisdictional regulatory analyses.
Assist in Second Request investigations and other government antitrust reviews.
Draft and negotiate antitrust-related provisions in transaction agreements, including risk-shifting covenants; manage document reviews and regulatory responses.
Collaborate with transactional teams to identify and mitigate antitrust risk in complex deals, utilizing legal technology tools to support investigations and filings.
