Legal Counsel, Primary and Transactions Legal Actions

The Legal Counsel, Primary and Transactions focuses on primary fund investments and secondary transactions in private equity, venture capital and real assets, with opportunities in fund formation and transactional matters.
Responsibilities include reviewing and negotiating investor agreements (limited partnership agreements, LLC agreements, subscription agreements) and side letters, drafting comment memoranda, and coordinating with fund counsel.
Lead LP- and GP-led secondary transactions (purchase agreements, framework/transaction agreements, transfer documents and LPAs) and assist with fund and separate account formation.
Support other private market transactions, including co-investments and credit transactions; interface with investment professionals, sponsors, clients and outside counsel; supervise outside counsel where appropriate.
Review amendments to private equity fund agreements and advise clients on such amendments; refine investment guidelines, systems, and closing processes to improve efficiency.
Ideal candidate holds a JD with 3-6 years of private markets or corporate law experience, excels at communication and problem-solving, demonstrates independent judgment, and can manage projects from inception to close.
